End User Licence Agreement

This End User Licence Agreement ("Agreement") is between you and Nebula Music. Nebula Music is a brand of SHAMANIC GROOVE ΕΠΕ ΥΠΟΚΑΤΑΣΤΗΜΑ ΑΛΛΟΔΑΠΗΣ, a Greek branch of a foreign company, ΑΦΜ 802927177, VAT EL802927177, ΔΟΥ Αμπελοκήπων, ΓΕΜΗ 185504906001, Υπολοχαγού Αγγελάκη 10, 56122 Μενεμένη, Thessaloniki, Greece ("we", "us").

It covers the Nebula Music software: the Nebula DAW for macOS, our audio plug-ins, their updates, content and documentation (together, the "Software").

By installing, activating or using the Software you accept this Agreement. If you do not accept it, do not install or use the Software.

1. The licence we grant you

We licence the Software to you. We do not sell it. We keep all ownership and intellectual property rights.

When you buy a licence, or while your All Access plan or free trial is active, we give you a personal, non-exclusive, non-transferable right to install and use the Software, under this Agreement.

  • A licence belongs to one user. "User" means one person, or one named person at a business that bought it.
  • You may activate the Software on up to 5 computers at the same time, as long as you are the person using them.
  • To use the Software on another computer once you have reached 5, deactivate it on one of the others first.

2. Commercial use

You may use the Software for personal and commercial work. That includes music, sound design, broadcast, film, games and client work.

The audio you create with the Software belongs to you. We claim no rights in it and take no royalties.

3. Types of licence

  • Perpetual licence. You may use the version you bought for as long as you like. It does not expire.
  • All Access plan. You may use the products included in the plan for the 12 months you have paid for. The plan renews only if you choose to renew it.
  • Free trial. You may use the Software free for 30 days to evaluate it.

4. Activation and working offline

You activate the Software once, online. After that it works offline.

To activate and manage your computers, the Software sends us a small amount of technical information. This is a hashed machine ID, the computer's name, the operating system version and the app version. Our Privacy Policy explains how we handle it.

5. What happens when a licence ends

If a trial or an All Access plan ends, you can no longer use the Software for new work until you buy or renew.

We will never stop a session you are working in. If a licence lapses, plug-ins still load so that your existing projects open and play. You may be shown a reminder, and some features may be limited until you renew.

6. What you may not do

You may not, and may not let anyone else:

  • share, sell, rent, lend or sub-licence the Software or your licence key;
  • get round, disable or tamper with licensing or activation;
  • copy the Software except to install it as allowed above and to keep a backup;
  • reverse-engineer, decompile or disassemble the Software, except where the law lets you do so and that right cannot be waived (for example, to achieve interoperability under EU law);
  • extract and redistribute presets, samples, wavetables, impulse responses or other content shipped with the Software as a product of their own;
  • remove copyright or other notices.

7. Transfer

You may not transfer your licence to someone else without our written agreement. To ask, write to info@nebulamusic.org.

8. Updates

Updates are covered by our Terms of Sale. In short:

  • Perpetual plug-in licences include free updates within the same major version (for example all 1.x versions).
  • A Nebula DAW licence includes 12 months of updates. After that you may buy an optional yearly update plan. The version you have keeps working either way.
  • The All Access plan includes all updates while it is active.

9. Third-party components

The Software may include open-source or third-party components. Those are covered by their own licences, which we list in the Software's "About" or "Acknowledgements" window. Nothing in this Agreement limits your rights under those licences.

10. Warranty

We build the Software with care and the trial lets you test it before you pay. We do not promise that it will be free of errors or that it will work with every computer, operating system version or host.

If you are a consumer, you have legal rights about the conformity of digital content (in Greece under Law 2251/1994 as amended, implementing Directive (EU) 2019/770). Nothing in this Agreement limits those rights.

11. Limitation of liability

To the extent the law allows, we are not liable for indirect or consequential loss, such as lost profits, lost data or lost work. Keep backups of your projects.

To the extent the law allows, our total liability under this Agreement is limited to the amount you paid us for the licence in the 12 months before the claim.

Nothing in this Agreement limits liability for death or personal injury caused by negligence, for fraud, for wilful misconduct or gross negligence, or any other liability that cannot be limited by law.

12. Ending this Agreement

You may end this Agreement at any time by uninstalling the Software.

We may end your licence if you seriously breach this Agreement, for example by sharing your licence key. We will tell you first, by email, and give you a reasonable chance to fix the problem where that is possible.

When the Agreement ends you must stop using the Software. Sections 6, 11 and 13 continue to apply.

13. Law and disputes

Greek law governs this Agreement. The courts of Thessaloniki, Greece, have jurisdiction.

If you are a consumer, you keep the protection of the mandatory laws of the country where you live, and you may bring a claim in the courts of that country.
